Master Services Agreement (MSA)

1. Agreement Overview
This Master Services Agreement ("Agreement") is entered into by and between Rely Analytics ("Provider," "we," "us," or "our"), operating under the domain RelyBI.com, and the entity or individual ("Client," "you," or "your") who engages our services. By accessing or using our platform, you agree to be bound by these terms.
2. Services
Rely Analytics provides outsourced business intelligence and analytics services, including but not limited to:
- BI Platform as a Service (managed dashboards, reporting, and data visualization)
- Custom Analytics Solutions (tailored KPI tracking and workflow integration)
- E-commerce Sales Intelligence (revenue, product, and customer analytics)
- Financial Intelligence (automated financial statements and reporting)
- Data & AI Engineering (data pipelines, modeling, and automation)
The specific scope, deliverables, and timelines for each engagement shall be defined in a separate Statement of Work ("SOW") or Order Form agreed upon by both parties.
3. Service Plans & Pricing
Our services are offered under the following subscription tiers:
- Pro Plan: Starting at €200/month, designed for growing businesses requiring core BI capabilities.
- Team Plan: Starting at €500/month, designed for teams needing advanced analytics and collaboration features.
- Enterprise Plan: Starting at €1,500/month, tailored for organizations requiring dedicated support and custom solutions.
Pricing is subject to change with 30 days' prior written notice. Custom pricing may be agreed upon for enterprise engagements.
4. Client Obligations
The Client agrees to:
- Provide timely access to data sources, credentials, and systems necessary for service delivery.
- Designate a primary point of contact for communication and decision-making.
- Review and approve deliverables within the timeframes specified in the SOW.
- Ensure that all data shared with Rely Analytics is lawfully collected and that Client has authority to share it.
- Comply with all applicable laws and regulations regarding the data provided to us.
5. Data Ownership & Intellectual Property
Client Data: All data provided by the Client remains the sole property of the Client. We do not claim any ownership rights over Client data.
Deliverables: Upon full payment, all custom dashboards, reports, and analytics outputs created specifically for the Client shall be owned by the Client.
Platform & Tools: Rely Analytics retains all intellectual property rights in its proprietary platform, tools, methodologies, frameworks, and templates. The Client receives a non-exclusive, non-transferable license to use the platform during the subscription period.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information received from the other party. Confidential information includes, but is not limited to, business strategies, customer lists, financial data, technical information, and any data processed as part of the services. This obligation survives termination of this Agreement for a period of three (3) years.
7. Data Processing & Security
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR). We implement appropriate technical and organizational measures to protect Client data, including:
- Encryption of data in transit and at rest
- Access controls and authentication mechanisms
- Regular security assessments and monitoring
- Data backup and disaster recovery procedures
Where required, a separate Data Processing Agreement (DPA) shall be executed between the parties.
8. Service Level Agreement (SLA)
Rely Analytics commits to the following service levels:
- Platform Uptime: 99.5% monthly uptime for the BI platform.
- Support Response: Initial response within 4 business hours for critical issues, 24 business hours for standard requests.
- Report Delivery: As specified in the applicable SOW.
9. Payment Terms
Subscription fees are invoiced monthly in advance. Custom project fees are invoiced as specified in the applicable SOW. All invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
All prices are stated in Euros (€) and are exclusive of applicable taxes unless otherwise stated.
10. Term & Termination
This Agreement commences on the date of acceptance and continues for the initial term specified in the SOW or Order Form. Subscriptions renew automatically for successive periods unless either party provides 30 days' written notice of non-renewal.
Either party may terminate this Agreement:
- For convenience, with 30 days' written notice.
- For cause, if the other party materially breaches the Agreement and fails to cure within 15 days of written notice.
- Immediately, if the other party becomes insolvent or enters bankruptcy proceedings.
Upon termination, we will provide the Client with all Client data in a standard format within 30 days and securely delete our copies within 90 days.
11. Limitation of Liability
To the maximum extent permitted by law, Rely Analytics' total liability under this Agreement shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.
This limitation does not apply to breaches of confidentiality, data protection obligations, or willful misconduct.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of the jurisdiction where Rely Analytics is established. Any disputes arising from this Agreement shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body.
13. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active Clients at least 30 days before taking effect. Continued use of the services after changes become effective constitutes acceptance of the revised terms.
